Licensing Terms

Let's explain
To use our resources (like templates and guides), you must accept these licensing terms, which boil down to:
- You can use our resources for yourself or your company, but not for making money (like selling them or including them in a paid service).
- If our resources say "Zaharia.law" somewhere, you must leave that as is.
- Feel free to change the resources to better suit your needs, but don't pass those changes off to others, whether you're charging money or not.
- Using our resources doesn't mean we endorse you or what you're doing with them, and we don't promise that they will be a match for your specific needs.
- We're providing these resources "as is," which means we're not making any promises about them. If something goes wrong while you're using them, we're not responsible.
- If you don't follow these rules, we can end your right to use our resources. Also, if your company makes more than $1 million a year, you've outgrown this agreement and need to stop using the resources until we come to a new agreement.

Introduction

This document (the “Licensing Terms”) outlines the terms under which we offer our templates, documents, guides, and other legal texts (collectively referred to as "Resources"). By accessing, downloading, or using the Resources, you acknowledge and agree to these Licensing Terms.

These Licensing Terms form part of the Contract between you and us. Capitalized terms used and undefined have the meaning outlined in the Contract.

Grant of License

When we grant you access to the Resources, we are granting you a limited, non-exclusive, non-sublicensable, royalty-free, and revocable license to use them for your personal use or for internal business purposes.

Your use of the Resources is limited to a single entity, which must be the entity indicated by you in the download form or other such tool that we have made available to you in order to accept this license. Use of the Resources for or on behalf of more than one legal entity requires obtaining a separate license for each additional entity.

You are expressly prohibited from selling, sublicensing, or otherwise deriving monetary gains from the Resources. This includes, but is not limited to, offering the Resources for sale, using the Resources as part of a service or product for which a fee is charged, or sublicensing the Resources to third parties for use in their own commercial endeavors.

Attribution

When using the Resources, you are required to maintain proper attribution to Zaharia.law. Specifically, some Resources may include a reference that states "Zaharia.law (c) All rights reserved." or similar. Such reference is a critical component of the attribution and must not be removed or altered in any way.

Adaptation

You are permitted to remix, adapt, and build upon the Resources strictly for your own personal or internal business use. This includes modifying the content of the Resources to fit specific circumstances, adding or removing clauses, or integrating the Resources into larger documents or systems within your organization.

However, any adaptations, modifications, or derivative works based on the Resources are subject to the same restrictions as the original Resources. Specifically, you may not share, distribute, sell, or otherwise provide these adaptations or derivative works to others, whether in exchange for compensation or free of charge.

No Endorsement

The use of the Resources does not imply endorsement by Zaharia.law of you, your use of the Resources, or any product or service you may offer or produce as a result of using the Resources. Zaharia.law makes no representation or warranty regarding the suitability of the Resources for your intended purposes or outcomes. The provision of the Resources does not constitute an endorsement of any resulting legal document, product, or service created by you. It is your responsibility to ensure that the use of the Resources complies with applicable laws and meets the intended purposes.

Disclaimer of Warranties and Limitation of Liabilities

The Resources are offered on an "as is" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Zaharia.law shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Zaharia.law has been advised of the possibility of such damages), resulting from the use or the inability to use the Resources.

Where appropriate, a detailed disclaimer and limitation of liabilities will also be present in each of the Resources to ensure that users are aware of these conditions.

Termination

We reserve the right to terminate this license at any time if you fail to comply with any provision of these Terms. Upon termination, you must immediately cease all use of the Resources and destroy all copies, whether modified or in their original format, that are in your possession or under your control. We may terminate the license without notice to you if we deem such action is necessary to protect our rights or the rights of others or to comply with legal requirements.

Revenue-Based License Termination. In the event that the entity using the Resources (as specified in the download form) exceeds one million dollars ($1,000,000) in annual revenue, this license will no longer be sufficient for continued use of the Resources. Upon reaching or exceeding this revenue threshold, the entity must immediately cease any further use of the Resources under this license. To continue using the Resources beyond this point, the entity must contact us at office@zaharia.law to discuss and potentially secure a new licensing arrangement suitable for its level of revenue.
